Terms of Service

§ 1. General Provisions
- These Terms govern the provision of services by Ingenios Sp. z o.o. with its registered office in Warsaw, ul. Nowogrodzka 31/413, 00-511 Warsaw, Poland, KRS 0000924926, NIP 7011054210 (hereinafter: "Service Provider").
- By using this website, you accept these Terms.
§ 2. Definitions
- Website — the website at ingenios.pl and its subdomains.
- Service Provider — Ingenios Sp. z o.o.
- Client — a natural or legal person using the Website.
- Services — website development, CRM implementation, AI chatbots, and technical support.
- Sole Proprietorship (JDG) — a sole proprietorship (jednoosobowa działalność gospodarcza) registered in the Polish Central Register of Business Activity (CEIDG).
- DPA (Data Processing Agreement) — a data processing agreement concluded pursuant to Art. 28 of the GDPR (RODO).
- Fields of Exploitation — fields of exploitation (pola eksploatacji) within the meaning of Art. 50 of the Polish Copyright Act.
§ 3. Services
- The Service Provider offers:
- Informational content about the Service Provider's offerings
- Contact form for sending inquiries
- Demo websites and portfolio
- The detailed scope of services is defined in an individual contract.
§ 4. Contract Formation and Terms
- Submitting an inquiry via the contact form constitutes an invitation to negotiate and is not a binding offer.
- Service packages and pricing are available at ingenios.pl/cennik/. All prices are net prices and are subject to change. Current minimum prices: START from PLN 499 net/month, BIZNES from PLN 999 net/month, PRO from PLN 1,999 net/month, ENTERPRISE from PLN 4,999 net/month.
- Minimum contract terms: 3 months for START, 6 months for BIZNES and PRO, 12 months for ENTERPRISE.
- After the minimum term expires, the contract is automatically renewed for successive 1-month periods.
- Either party may terminate the contract with 1 month's written notice (email is sufficient), effective at the end of the current billing period.
§ 5. Payment
- Payments are made by bank transfer as per the issued invoice.
- Payment term is 7 days from the invoice date.
§ 6. Complaints
- Submit complaints to: kontakt@ingenios.pl.
- Response time: 14 business days.
§ 7. Sole Proprietorship (JDG) Protections
- Pursuant to Art. 385⁵ of the Polish Civil Code (in force since 1 January 2021), a natural person who conducts a sole proprietorship (JDG) and concludes a contract directly related to their business activity — where the content of the contract indicates that it does not have a professional character for that person — shall enjoy protections analogous to those afforded to consumers.
- Such protections include, in particular: protection against abusive clauses (klauzule abuzywne) under Art. 385¹–385³ of the Civil Code, and warranty rights.
- For distance contracts concluded with a JDG person for whom the contract does not have a professional character, the right of withdrawal within 14 days under Art. 38a of the Consumer Rights Act of 30 May 2014 may apply.
- The professional character of the contract is assessed based on the PKD codes disclosed in the CEIDG entry.
- If any provision of these Terms is found to constitute an abusive clause with respect to a JDG Client, such provision shall not be binding on the JDG Client, while the remaining provisions shall remain in full force and effect.
§ 8. Intellectual Property
- Content published on the Website (texts, graphics, logos, source code) is the property of the Service Provider and is protected by copyright.
- Rights to websites created for the Client are transferred to the Client upon full payment, unless the contract provides otherwise.
- The fields of exploitation (pola eksploatacji) under Art. 50 of the Polish Copyright Act include, in particular:
- recording and reproduction by any means, including print, reprographic, magnetic recording, and digital techniques;
- trading the original or copies on which the work has been recorded — placing on the market, lending, or rental;
- dissemination, including making the work available to the public in such a way that anyone may access it at a place and time of their choosing (in particular, making available via the Internet);
- creating derivative works, including translations, adaptations, and modifications.
- Transfer of economic copyrights requires written form (forma pisemna) under penalty of nullity (Art. 53 of the Copyright Act) and is governed by a separate agreement.
- During the subscription period, the Client receives a non-exclusive license to use the works within the fields of exploitation specified in paragraph 3.
- Moral rights (autorskie prawa osobiste) under Art. 16 of the Copyright Act remain with the creator; the Service Provider undertakes not to exercise them.
§ 9. Data Protection
- Personal data processing rules are described in our Privacy Policy.
- To the extent that the Service Provider processes personal data on behalf of the Client (e.g., through CRM systems, chatbots, or contact forms on the Client's website), the Service Provider acts as the Processor and the Client acts as the Controller within the meaning of Art. 28 GDPR.
- The processing referred to in paragraph 2 is governed by a separate Data Processing Agreement (DPA), which forms an integral part of the service contract.
- Current sub-processors: Amazon Web Services (hosting, EU), Cloudflare (DNS/CDN), Google LLC (Analytics), Meta Platforms (Pixel), Sentry (error monitoring), Slack Technologies LLC (internal communications — contact-form content is forwarded to a private Ingenios team channel; SCC).
- The Client shall be notified of any changes to sub-processors with 14 days' advance notice.
§ 10. Final Provisions
- The Service Provider reserves the right to modify these Terms.
- Matters not regulated by these Terms shall be governed by the laws of the Republic of Poland.
- These Terms take effect on March 29, 2026.
